DEFINITIONS

Under these Conditions, unless the context requires otherwise, the following terms and expressions will have the meanings indicated below: THE COMPANY López Cristóbal, S.A. “THE CLIENT” Any person, company, association or any other entity that wishes to contract use of the Database of international commercial reports on the López Cristóbal website.

OBJECT

The purpose of this Contract is for the COMPANY to grant to the CLIENT a License to Use the Database owned by the COMPANY.

LIMITATIONS OF USE

The CLIENT guarantees without reservation that it will neither convey nor disclose this information to any person or persons not expressly employed by the CLIENT, either in whole or in part, freely or onerously. Under no circumstances may the CLIENT transfer, sublet, sub-license, sell or carry out any other action seeking to dispose of the information, whether freely or onerously, or extract or reuse all or part of the contents of the reports, without prejudice to the provisions under current legislation on intellectual property.

It is expressly prohibited for the CLIENT to reproduce, copy, transform, modify or in any way alter the information contained within the Database, either partially or totally, freely or onerously.

The CLIENT shall refrain from requesting information in the knowledge that it will be used by third parties, and from voluntarily or negligently allowing third parties to make similar requests.

ACCESS

Access to the López Cristóbal Database will be through online connections. To this end, López Cristóbal will provide the CLIENT with a strictly confidential access code, for their exclusive use.

The CLIENT will take all necessary steps to maintain the confidentiality of this code, and López Cristóbal will not be responsible for any consequences arising from use of the Database access code by unauthorized third parties. If the assignee believes that the code is no longer confidential, he/she must ask López Cristóbal to change this access code.

RESOLUTION

López Cristóbal may terminate this Contract in the event of non-compliance on the part of the CLIENT with any of its obligations contained herein, reserving the right to withdraw access to the service at any time.

RESPONSIBILITIES

López Cristóbal collects the information contained in the Database from information sources where the data is presumed to be correct. López Cristóbal makes every possible effort to ensure the accuracy of this information, but due to the immense amount of detailed data involved in compiling Databases, reports and other such informative sources, and given the data is obtained from sources beyond the control of López Cristóbal, it assumes no responsibility for any errors, inaccuracies or omissions in the information provided. In the event that errors or inaccuracies are detected in the Database, the sole obligation of López Cristóbal, beyond undertaking any verifications deemed appropriate, will be to introduce the appropriate corrections to the Database.

Except for the obligation to correct as specified in the previous section, López Cristóbal assumes no responsibility for any errors or omissions included in the Database, and particularly will not be liable for damages of any kind that may derive from the CLIENT having relied on the accuracy of the Database. To this effect, the parties agree that the Database is just one of the elements that must be taken into account when making business decisions and that usual business diligence advises against making business decisions based, exclusively or mainly , on the information contained within the Database.

The COMPANY’s liability, together with any compensation for damages or payment of interest in the event of non-compliance due to fault or negligence, will be limited to the full price paid by the CLIENT as a consequence of this Contract.

CONFIDENTIALITY

The licensed information, in whatever medium, will be provided for the sole and exclusive use of the CLIENT, who is obliged to maintain absolute confidentiality in relation to the data transferred to them and under no circumstances may they provide said information or part of it to third parties without the prior written consent of López Cristóbal, baring responsibility in the event of any misuse or leaking that occurs among their staff, or any third party to whom the data has been communicated. The duty of confidentiality will continue even after the end of their contractual relationship with López Cristóbal.

CONDITIONS

López Cristóbal reserves the right to rectify, extend or cancel any information contained within the Database, to add new information and/or improve or modify presentation of the service at any time, as well as introduce any elements required to facilitate control and monitoring of its use.

The maintenance or repair of computer equipment and of data transmission or other similar elements beyond the control of López Cristóbal, may cause the modification or temporary suspension of the service, with López Cristóbal reserving the right to do so.

DATA PROTECTION

López Cristóbal guarantees the legitimacy of the sources used for the creation of its products, as well as the procedures and actions involved in their creation and the legality of the transfer of personal data, in accordance with Organic Law 15/1999, of December 13th, in relation to the Protection of Personal Data.

PROTECTION OF PERSONAL DATA

The data provided by THE CLIENT for the purposes of concluding this contract will be included in the files of López Cristóbal for analytical and monitoring of the subscribed activities.

The CLIENT authorizes López Cristóbal to process the data they have now supplied together with the data derived from the contractual relationship in order to analyse the risk of future operations that may be requested and for the purposes of sending out advertising and commercial offers to the Client or to third parties that are tailored to their profile, and to do so via any medium (mail, telephone, fax, e-mail or any other means).

The CLIENT authorizes López Cristóbal to transfer their personal data and the data deriving from this contractual relationship to entities directly or indirectly linked to the INFORMA GROUP and to the CAJA MADRID GROUP, for the purposes of the processing of their personal data, for risk analysis of any operations they may request in the future and for the purposes of sending out advertising and commercial offers to the Client or to third parties that are tailored to their profile, and to do so via any medium (mail, telephone, fax, e-mail or any other means).

Given the optional nature of this authorization for the transfer of data, it may be revoked by the data owners via written communication addressed to López Cristóbal. Revocations will not have retroactive effect or refer to data transfers imposed by law or that relate to the development, compliance or control of a freely and legitimately accepted legal relationship.

All of the above is understood to be without prejudice to the rights of access, rectification, cancellation and opposition provided by current legislation and particularly Organic Law 15/1999 of December 13th, and for all of which the party responsible for the data files should be addressed (Avenida de la Industria 32, Polígono Industrial de Alcobendas 28108 Alcobendas Madrid).

JURISDICTION AND LEGISLATION

The fulfilment, execution and interpretation of this Contract will be subject to Spanish legislation and, in the event of any dispute, this agreement is subject, expressly waiving any other jurisdiction that may be available to the parties, to the jurisdiction of the Courts and Tribunals of Alcobendas.
